Yulchon LLC Establishes Corporate Governance Center

Comprehensive Advisory Services on Compliance Management and Shareholder Voting Rights

Yulchon LLC has established a Corporate Governance Center. The center is headed by Oh Yongseok, an advisor who previously chaired the National Pension Fund Stewardship Responsibility Committee and has experience in institutional investors' shareholder activities. Moon Sung, an attorney who served as the head of the Responsible Investment and Shareholder Rights Team at the National Pension Service Fund Management Headquarters, and Wi Choonjae, an attorney with expertise in corporate and capital markets law related to M&A, have joined as deputy heads of the center.

The core areas of business include: ▲ comprehensive advisory services on the establishment of compliance management systems, board composition, and governance structure improvement; ▲ advisory services on responses to shareholder rights exercises by institutional investors and minority shareholders; and ▲ advisory services on response strategies such as proxy solicitation during general meetings of shareholders.

Jung Hanuk, a professional advisor and former senior researcher at the Korea ESG Standards Institute, will serve as secretary. Other participants include attorneys Seo Kyunghee, Choi Girim, Chu Suheon, Lee Chaeyoung, Jung Junwoo, Kim Kwonjae, Jang Jaewan, and Kang Yesol, as well as senior professional advisor Lim Changju (certified public accountant), advisor Jang Dongheon (former CIO of the Government Employees Pension Service), foreign attorneys Yang Jaeseon (who handled shareholder meetings and board affairs at Citibank Korea) and Park Junmo, and professional advisor Yoon Yeohun.

The Yulchon Corporate Governance Center plans to leverage its accumulated successful experience and know-how to respond swiftly to the strengthening of domestic and international regulations on corporate governance, and to provide comprehensive advisory services throughout the entire process of proxy voting and shareholder activities.
