Discussion on Comparative Review of Foreign Legislation and Management Impact
The business community and academia are joining forces to find solutions and address the current issues regarding the expansion of directors' fiduciary duties to shareholders as part of corporate governance reform.
The Korea Economic Association announced on the 8th that it will hold a seminar on the topic of "Controversy over the Expansion of Directors' Fiduciary Duties and Protection of Shareholders' Interests" at 1 p.m. on the 15th at the FKI Tower in Yeouido, Yeongdeungpo-gu, Seoul, together with eight economic organizations and the Korean Corporate Law Association. The eight economic organizations are the Korea Economic Association, the Korea Chamber of Commerce and Industry, the Korea International Trade Association, the Korea Employers Federation, the Korea Federation of Small and Medium Business, the Korea Federation of Medium-sized Enterprises, the Korea Listed Companies Association, and the KOSDAQ Association.
Professor Toriyama Kyoichi of Waseda University will deliver the keynote speech on the topic "Do Directors Owe Duties Directly to Shareholders?"
Three corporate law scholars?Professor Jeong Junhyuk of Seoul National University School of Law, Professor Park Junseon of Jeju National University School of Law, and Professor Kang Younggi of Korea University?will present comparative studies on foreign legal systems regarding the expansion of directors' fiduciary duties.
Professor Choi Junseon, Emeritus Professor at Sungkyunkwan University School of Law, will serve as the chair, and seven corporate law experts, including Professor Jeong Junwoo of Inha University School of Law, will participate in a comprehensive discussion. The discussion will focus on the impact and issues of expanding directors' fiduciary duties on corporate management and overall corporate legal systems.
