[e Gongsi Notice Catches Attention] KOSDAQ - 31st


▲DIO= The stock transfer agreement involving a change of the largest shareholder, signed between the largest shareholder Dio Holdings, seven related parties, and Sesim, has been canceled. The company explained, “Due to changes in external economic conditions and the transferee’s withdrawal of investment intention, the transferor and transferee have agreed to cancel the stock purchase agreement.” The previous transfer amount was KRW 229.38096 billion.


▲FutureChem= Acquired Canadian patent rights for PSMA-targeted radiopharmaceuticals for prostate cancer diagnosis and treatment. The company stated, “We completed domestic patent registration in September 2020 and filed applications in 19 overseas countries.”


▲Korea McNulty= Issued a disclosure denying reports about considering the sale of 53.5% of the major shareholder’s stake. Regarding media reports titled ‘Korea McNulty enters M&A market, considering sale of 53.5% major shareholder stake,’ the company explained, “After confirming with the largest shareholder and others, we received a response that no documents for sale were sent and there is no intention to sell.”


▲ES Cube= The Korea Exchange KOSDAQ Market Division announced it will issue a preliminary notice to designate ES Cube as a non-compliant disclosure corporation due to reversal of disclosures such as cancellation of stock transfer agreements involving a change of the largest shareholder.


▲KH Electronics= The Korea Exchange KOSDAQ Market Division announced it will issue a preliminary notice to designate KH Electronics as a non-compliant disclosure corporation due to failure to disclose delays in single sales and supply contracts.


▲Affect= Decided to acquire the packaging sales division of AT Semicon (089530) for KRW 72 billion. The purpose of acquisition is to establish a foundation as a comprehensive semiconductor back-end process specialist, with the scheduled acquisition date on November 1. On the same day, AT Semicon explained the purpose of the transfer is to improve financial structure and secure funds for new business.


▲HLB= The Financial Supervisory Service announced that regarding the securities registration statement submitted by HLB (028300) on the 17th, if the format of the securities registration statement is not properly prepared, or if there are false statements or omissions of important matters, or if the description of important matters is unclear and may hinder investors’ reasonable investment decisions or cause significant misunderstandings, a corrected registration statement submission will be requested. The relevant securities registration statement is considered not accepted from the date of the request, and its effect is suspended.


▲N2Tech= Recorded an operating profit of KRW 1.41335 billion for this fiscal year, turning profitable compared to the previous year. Sales decreased by 34% to KRW 29.56563 billion during the same period. The company explained, “The sales decrease is due to classification of the entertainment business division as discontinued operations following a physical spin-off,” and “Reclassification of discontinued operations resulted in an increase in operating profit.”


▲Ohaim INT= The largest shareholder ‘2015 IMM Design Venture Fund’ signed a contract to transfer 7,156,754 shares to IMM Investment for approximately KRW 22.8 billion. Accordingly, the largest shareholder will change to IMM Investment, which holds 33.73% of shares.
