The World Class Enterprise Association (Chairman Lee Junhyeok) held a "U.S. Corporate Law Practical Training" session for executives and employees of its member companies on October 23 at the CEO Lecture Room of Seoul National University of Education in Seocho-gu, Seoul.
This training was organized to enhance the practical legal risk management capabilities of member companies, in line with the trend of expanding overseas investments and local business expansion in the United States.
The session was led by Choi Seonjip, an expert in tax and corporate law who graduated from Harvard Law School and has extensive advisory experience with major institutions such as the Ministry of Economy and Finance, the National Tax Service, and the Financial Supervisory Service. Choi currently serves as Vice President of External Cooperation at the World Class Enterprise Association and is a former attorney at Kim & Chang.
In his lecture, Attorney Choi systematically explained the core principles of U.S. corporate law and relevant case studies, focusing on topics such as the legal responsibilities of directors and shareholders, the authority of corporate agents, and the concept of "Piercing the Corporate Veil."
He also highlighted key legal points that Korean companies must be aware of when establishing subsidiaries or branches in the United States. Using real-life litigation cases as examples, he addressed the scope of directors' authority, the limits of shareholders' liability, quorum requirements for corporate decisions, discretionary powers in dividend resolutions, and the shareholder derivative suit system.
Attorney Choi stated, "Corporate success in the global market depends not only on technological capabilities but also on an understanding of local legal systems and risk management skills. I hope this training will help member companies assess the U.S. legal environment in advance and establish effective preventive strategies."
The World Class Enterprise Association added, "As the legal and trade environment faced by our member companies abroad becomes increasingly complex, the association will continue to strengthen practical training courses and provide ongoing support for a network of member companies growing into global enterprises."
