SK Discovery Sells Entire Stake in SK D&D...All-In on Green Materials, Energy, and Bio

742 Billion KRW Worth of SK D&D Shares Sold to Hahn & Company
Bold Exit from Real Estate and Development, Business Portfolio Restructured
"Seeking New Growth Engines"?Rebalancing Strategy Highlighted

SK Discovery (CEO Son Hyunho) has accelerated the restructuring of its business portfolio by selling its entire stake in its subsidiary SK D&D to Hahn & Company. The company has made a bold decision to divest its non-core real estate development and operation affiliate, and will now focus its capabilities on green materials, energy, and bio-areas identified as the group's future growth engines.

On October 1, the company held a board meeting and announced that it would sell all 5,821,751 shares (31.3%) of SK D&D it held to Hahn & Company. The sale amount is 74.2 billion KRW, and through this transaction, SK Discovery will completely withdraw from SK D&D.

SK Discovery Sells Entire Stake in SK D&D...All-In on Green Materials, Energy, and Bio

Since SK D&D acquired a stake in SK Gas in 2021, SK Discovery and Hahn & Company have each held 31.3% and jointly managed the company. With this sale, Hahn & Company will become the sole largest shareholder and will exercise management rights independently.

This transaction is not merely a simple asset sale, but part of a group-wide portfolio rebalancing strategy. By divesting from the non-core real estate development business, SK Discovery aims to allocate its resources selectively and intensively to accelerate the growth of its core affiliates.

In particular, eco-friendly green materials through SK Chemicals, energy solutions centered on SK Gas, and the bio sector-including SK Bioscience and SK Plasma-are expected to become the group's three main pillars going forward.

SK Discovery plans to reinvest the proceeds from the sale not just to secure liquidity, but to enhance shareholder value and secure future growth engines. A company representative stated, "This transaction is part of a process to complete a long-term growth story rather than to achieve short-term financial effects," adding, "We will strengthen our future portfolio encompassing green materials, energy, and bio to meet the expectations of our stakeholders."
