Law firm Logos announced on the 11th that it will hold a commercial law seminar titled "Key Points of the 2025 Commercial Act Amendment and Changes in Corporate Management" at 3:00 p.m. on August 13 at the Logos Lounge on the 14th floor of the City Airport Tower in Samseong-dong, Gangnam-gu, Seoul.
The seminar will share practical strategies for corporate legal and investor relations (IR) professionals, covering topics such as directors' duty of loyalty, the application of the 3% rule in the appointment of audit committee members, the expansion of mandatory independent director ratios, and the requirement for electronic general shareholders' meetings.
Professor Lim Cheolhyeon of Chonnam National University Law School will give a presentation explaining the significance of the amended provisions of the Commercial Act from the perspectives of corporate legal affairs and governance structure. Following this, Logos attorneys Kim Hyeongjun and Kim Mugyeom will participate as discussion panelists, analyzing the risks related to the duty of loyalty and the appointment of audit committee members in the context of financial crimes and litigation practice. They will also discuss litigation response strategies and corporate case studies.
After the session, there will be a Q&A and networking session between the discussion panelists and attendees.
Lim Hyeongmin, managing partner at Logos, stated, "This seminar is designed to clearly explain the core content of the amended Commercial Act and to present concrete measures to strengthen the internal operational strategies of corporate boards of directors and audit committees. We hope this event will help practitioners deepen their understanding and enhance companies' practical response capabilities in an increasingly complex legal environment."
