Proactive Response to Commercial Act Amendments
Hybrid Online-Offline Seminar Scheduled for the 4th of Next Month

Sejong Law LLC (Managing Attorney Jonghan Oh) has newly established the 'Corporate Governance Strategy Center' to proactively respond to amendments to the Commercial Act that are expected to have a significant impact on corporate governance and capital markets, such as codifying directors' fiduciary duties to shareholders and introducing electronic general meetings of shareholders.
On the 23rd, Sejong announced that it had launched the Corporate Governance Strategy Center by integrating its existing Corporate Governance Team and the Shareholder and Management Rights Dispute Team.
The Center was established with the goal of helping companies build a stable management environment by diagnosing risk factors related to corporate governance in advance and improving corporate governance structures. The Center plans to provide a one-stop solution that encompasses both advisory and litigation services, including consulting on corporate governance and offering and executing comprehensive response strategies in situations involving management rights disputes.
Specifically, the Center will support corporate clients in proactively responding to incidents before they occur and in establishing transparent and sound governance structures through services such as: ▲corporate governance strategy, ▲conversion to a holding company and governance restructuring, ▲board operation strategy and management, ▲response to management rights disputes, and ▲response to shareholder rights exercises and shareholder activism, all within the rapidly changing corporate governance environment.
The Center is headed by Attorney Dongun Lee (29th Judicial Research and Training Institute), who is recognized as an industry-leading expert with extensive experience in corporate governance and shareholder disputes. The role of Deputy Head is held by Attorney Sukmi Lee (34th class), who has successfully handled numerous high-profile cases in the field of management rights disputes.
In addition, the Center includes Attorney Won Lee (26th class), who possesses unrivaled expertise in civil and commercial litigation related to mergers and acquisitions based on extensive trial experience; Attorney Byungtae Kim (26th class), an expert in holding company groups and corporate restructuring; Managing Attorney Yongwoo Lee (28th class), who has accumulated substantial practical experience through handling numerous major management rights disputes; Attorney Hyesung Jeong (35th class), who has broad experience and expertise in M&A, PEFs, various corporate transactions, and company law advisory and dispute resolution; and Attorney Sugyun Lee (36th class), who has handled significant cases involving shareholder disputes and M&A.
Furthermore, the Center is supported by advisors such as Jiweon Jung, former 6th Chairman of the Korea Exchange who recently joined Sejong; Jiho Kang, who served as Head of the KOSDAQ Disclosure Team, inaugural ESG Team Leader, Head of the Short Selling Special Audit Team, and Audit Department Head at the Korea Exchange; and Kyuhong Lee, who served as a member of the Korea Exchange Listing Disclosure Committee and as CIO of the Teachers' Pension Fund. The Center also plans to recruit external experts with extensive experience and networks related to proxy advisory firms and institutional investor voting activities in the future.

Meanwhile, to commemorate the launch of the Center, Sejong will hold a hybrid online-offline seminar on the theme 'Commercial Act Amendment: Content and Implications' on the 4th of next month. The event has attracted significant interest from corporate clients, with on-site registration closing within just over ten minutes.
At the seminar, Professor Junhyuk Jeong of Seoul National University School of Law, who is highly regarded in the field of company law, along with Center Head Dongun Lee and Deputy Head Sukmi Lee, will serve as presenters and engage in in-depth discussions on the key elements and implications of the Commercial Act amendment, as well as practical response strategies for companies.
