SP Soft announced on the 17th through a public disclosure that it will acquire 100% of the shares of cloud-based digital transformation company Uhost through a comprehensive stock swap. The stock exchange ratio between the two companies is approximately 2.352 shares of SP Soft per 1 share of Uhost. The scheduled date for the stock swap is August 16. Through this stock swap, Uhost is expected to become a wholly owned subsidiary of SP Soft.
Uhost is a cloud management service (MSP) specialist company focused on Microsoft (MS) Azure. Centered on its self-developed solutions, it offers differentiated technology to clients across various fields. In March, it also began advancing its AI MSP solutions by utilizing ChatGPT based on MS Azure to improve MSP quality.
Uhost has diversified its business into the smart factory sector through a factory energy management system that applies data analysis and predictive technologies to the cloud. Recognized for its expertise in energy efficiency projects, it is emerging prominently in the domestic market.
SP Soft plans to accelerate the growth of its MS Copilot-related business based on Uhost’s AI-specialized MS Azure cloud MSP. As a major SPLA license distributor for MS, SP Soft is conducting various generative AI businesses including ChatGPT-based Copilot and virtual OS (operating system) beyond license supply. The company explained that since MS recently integrated GPT-4o into Azure, demonstrating high compatibility between Azure and ChatGPT, additional revenue from the key services of both companies is expected.
An SP Soft official stated, “Since its establishment in 2006, Uhost has grown for 19 years, maintaining profitability every year. With the full-scale performance of its main businesses, last year’s sales reached 19.2 billion KRW, nearly a 50% increase compared to the previous year. Through this acquisition of Uhost, not only will SP Soft’s performance growth momentum be further strengthened, but various synergies in the cloud sector are also anticipated.”
SP Soft is expanding its business in MS’s generative AI-based software program ‘Copilot.’ Based on its partnership with MS, SP Soft plans to provide customization and operational support for Copilot in the future.
