"MIS? No Prior Consultation Occurred"

Lee Chan-hee, Chairman of Samsung Compliance Committee, refrained from commenting on Samsung Electronics' 'one-point personnel change' replacing the head of the semiconductor division on the 21st, stating, "Personnel matters are not issues for the Compliance Committee."

Before attending the Compliance Committee meeting held at Samsung Life Seocho Building in Seocho-gu, Seoul, Chairman Lee told reporters, "If there is a compliance violation issue related to personnel changes, we (the Compliance Committee) will review it."

On the same day, Samsung Electronics appointed Jeon Young-hyun, Vice Chairman and Head of the Future Business Planning Group, as the head of the Device Solutions (DS) division responsible for semiconductors. Kyung Kye-hyun, who had led Samsung Electronics' semiconductor business as the DS division head for 3 years and 5 months since December 2021, moved to the position of Head of the Future Business Planning Group, previously held by Vice Chairman Jeon. Additionally, Kim Yong-kwan, Vice President and Head of Samsung Electronics' Medical Equipment Business Division and CEO of Samsung Medison, moved to Samsung Electronics' Business Support Task Force. Some analysts speculate that this might signal the revival of Samsung's Future Strategy Office (MiJeonSil), which previously acted as the company's control tower. Vice President Kim had worked in the Future Strategy Office in the past.

Regarding the connection between this personnel change and the revival of the control tower, Chairman Lee responded, "There was no prior consultation, so I am not sure if today's personnel changes are related to the control tower." He added, "Since nothing has been definitively decided within the Compliance Committee about the revival of the control tower, there have been no specific discussions with the company."

On concerns that the resumption of the second trial of Chairman Lee Jae-yong might delay his return as a registered director or responsible management, Chairman Lee said, "We will observe the court's verdict and consider the matter further afterward."

Regarding Samsung's payment of membership fees to the Korea Economic Association (HanKyungHyup), he stated, "No agenda has been received from affiliates yet."

Concerning the Samsung Electronics labor union's announcement of a large-scale rally on the 24th demanding wage increases and vacation system improvements, he said, "So far, there have been no specific discussions between the company and the union, so it seems inappropriate for the Compliance Committee to comment first." He added, "The Compliance Committee should provide opinions only after the company and the union have exchanged views and the issues have been clarified, not beforehand," refraining from further comment.
