Seminar Explores New Paradigms in Capital Market Regulations and Corporate Governance
Focus on Legal Amendments, Board Strategies, and Practical Corporate Responses
The Samil PwC Governance Center announced on August 27 that it will hold a seminar titled "New Paradigms in Capital Market Regulations and Corporate Governance" at the Four Seasons Hotel in Jongno-gu, Seoul, on September 26.
This seminar has been organized to explore the changes and corporate response strategies arising from ongoing discussions on shareholder rights protection, including mandatory treasury stock cancellation, mandatory tender offer systems, and fair value assessments in mergers between affiliates. The seminar is primarily aimed at board members, auditors, and top executives of listed companies, and will feature expert lectures as well as opportunities for dinner and networking.
In the first session, Jung Junhyuk, a professor at Seoul National University School of Law, will deliver a lecture on "The Evolution and Implications of Capital Market Laws." Professor Jung will analyze the legal implications of the proposed amendments to the Capital Markets Act and examine the potential impact of the revised laws on corporate governance and strategic decision-making processes. Through this, he will present proactive strategies for companies to secure sustainable growth drivers in a rapidly changing legal environment.
The second session will feature Heo Jeheon, a partner at Samil PwC, who will give a practical lecture titled "Capital Markets Act in Practice." Partner Heo will analyze key issues such as treasury stock acquisition and fair value assessment, which companies are newly facing due to the amended Capital Markets Act, through real-world case studies, and will suggest possible response strategies for companies. This session will focus on identifying practical changes resulting from the legal amendments and deriving corresponding corporate strategies.
The final session will feature the release of a video produced by the Governance Center, providing an overview of corporate governance trends and key developments. This video contains essential information and the latest trends related to board operations, derived from an analysis of business reports and corporate governance reports of domestic listed companies conducted by the Governance Center.
