All Agenda Items Proposed by ISS and OCI Holdings at the General Meeting Approved 'In Favor'

Positive Impact Expected on OCI Holdings and Hanmi Pharmaceutical Group Integration Process

OCI Holdings announced on the 14th that ISS, the world's largest proxy advisory firm, has expressed a 'favorable' opinion on all seven agenda items for the OCI Holdings regular shareholders' meeting to be held on the 29th.


OCI Holdings submitted the following items for resolution: the appointment of Chairman Lee Woo-hyun as an inside director; the appointment of Im Joo-hyun and Kim Nam-gyu as inside director candidates; the appointment of Lee Hyun-seung, Jang Charles Yun Sik, and Kim Ok-jin as outside directors; and the appointment of Lee Hyun-seung, Jang Charles Yun Sik, and Kim Ok-jin as members of the audit committee.

ISS is a specialized institution that thoroughly analyzes corporate shareholders' meeting agenda items for global investors and provides voting guidelines. It is known that more than 70% of global investors refer to ISS opinions when exercising their voting rights.


Among the agenda items for this shareholders' meeting, ISS also recommended approval for the appointment of Hanmi Pharmaceutical Group President Im Joo-hyun and La D?fense CEO Kim Nam-gyu as inside director candidates of OCI Holdings, expecting this to have a positive impact on the future integration process between OCI Holdings and Hanmi Pharmaceutical Group.
